Board of Directors

The purpose of the Board of Directors is to provide ongoing guidance to the executive management of the Company in respect to their duties and responsibilities. The power and authority of the Board is subject to the provisions of applicable laws and certain resolution of stockholders

The Board members are elected annually by the majority of stockholders’ votes and entrusted to oversee Helpful Technologies’ business.

A stockholder may vote either in person, by proxy executed in writing by the stockholder or by his/her duly authorized attorney-in-fact, or by an electronic ballot from which it can be determined that the ballot was authorized by a stockholder or proxy holder. The term, validity and enforceability of any proxy is determined in accordance with the General Corporation Law of the State of Florida. Any election by stockholders is determined by a plurality of the votes cast.
